(1) On May 29, 1998 the Board of Directors accelerated the vesting of 55,000
non-qualified stock options granted to Dr. Brilliant on March 5, 1998,
pursuant to his accomplishments in obtaining Company financing which
satisfied the accelerated vesting provision of his option grant.
