Explanation of Responses:
(1) Granted pursuant to the Company's 1996 Long-Term Incentive Plan and
Outside Director's Compensation Plan for 1998. Options vest immediately
upon grant and have a five-year term.
(2) Shares transferred to an irrevocable trust for the benefit of the reporting
person's children, and the reporting person has no voting or dispositive
control. The reporting person disclaims beneficial ownership of these shares.
