PART III -- NARRATIVE

     State below in reasonable detail the reasons why Form 10-KSB, 11-K, 20-F,
10-Q, N-SAR, transition report or a portion thereof could not be filed within
the prescribed time period.  (Attached Extra Sheets if Needed).

     The Company and Western Copper Holdings Limited ("Western") have entered
into a
Arrangement and Reorganization Agreement whereby the Company will merge with
and into
a subsidiary of Western.  The Arrangement is anticipated to be effected within
a
few weeks.  In light of the time devoted to the Arrangement, additional time
is
necessary to complete the Company's  Form 10-KSB.
