                                 NARRATIVE

      State below in reasonable detail the reasons why Form 10-K, 11-K,
20-F, 10-Q, N-SAR or the transition report portion thereof could not be
filed within the prescribed time period. (Attach extra sheets if needed)

      The Company and certain of its subsidiaries filed a Joint Prepackaged
Plan of Reorganization on August 28, 2000, as supplemented on September 29,
2000 (the "Plan"), which Plan was confirmed on October 4, 2000. Upon the
Company's impending exit from the chapter 11 process, the Company expects
to have undergone such changes (including to its capital structure) as to
require changes in its quarterly report on Form 10-Q in order for such
report to be accurate. The Company expects to complete its review of the
necessary changes shortly, and will file its quarterly report on Form 10-Q
as soon as practicable thereafter.

      (3) Is it anticipated that any significant change in results of
operations from the corresponding period for the last fiscal year will be

      The Company's consolidated sales for the three month period ended
August 31, 2000 were $122.7 million, a decrease of approximately 27.5% from
the comparable 1999 three month period. Operating loss for the three month
period ended August 31, 2000 was approximately $12.1 million compared to
operating profit of $7.6 million in the comparable 1999 three month period.
These results reflect trends similar to those seen in the Company's second
fiscal quarter ended May 31, 2000.
