Transok, Inc. ("Transok"), an Oklahoma corporation and a wholly
owned subsidiary of Central and South West Corporation, a Delaware corporation
and a registered holding company under the Public Utility Holding Company Act
of 1935, as amended, hereby files this Amendment No. 2 to the Form U-1
Application-Declaration in this File No. 70-8519 for the purpose of amending
Item 5 thereof by changing the date "December 31, 1994" therein to "December
30, 1994" and by adding a new sentence at the end of the second paragraph
thereof. As so amended, such second paragraph reads in its entirety as
follows:
"Transok respectfully requests that appropriate and timely action
be taken by the Commission in this matter in order to permit
consummation of the Combination on or prior to December 30, 1994 in
order to be able to realize the benefits and efficiencies referred
to above during the full 1995 year and to have an appropriate
transaction date for accounting and regulatory purposes. In any
event, Transok requests that the order granting and permitting the
Application-Declaration to become effective be made effective by
the Commission (with retroactive effect if necessary) as of a date
not later than December 30, 1994."
In all other respects, the Application-Declaration remains unchanged.
