(01) Represents the receipt of Stock Units, granted pursuant to the terms and conditions of my Stock Unit Agreement. Each Sto
ck Unit is equivalent to one share of Common Stock subject to satisfying various vesting, employment and non-compete r
equirements as set forth in my Retention Agreement.
(02) Shares held in trust established by the Issuer pursuant to the Toys "R" Us, Inc. Partnership Group Deferred Compensation
Plan. Includes 29,358 shares which are subject to forfeiture under certain conditions.
