The registrant's report on Form 10-Q could not be filed on its regular
due date of November 14, 2000 because the registrant was not able to complete,
without unreasonable effort and expense, its comprehensive review of its
commercial loan portfolio for the third quarter of the year 2000 as part of its
compliance with the Supervisory Agreement entered into with the Office of Thrift
Supervision on September 20, 2000.

Part IV, Item (3)
Explanation of anticipated change in results of operation.
Although the amount of the provision for loan losses for the quarterly period
ended September 30, 2000 has not been finally determined, it is estimated that
the amount for the quarter will be significantly greater than the $120,000
provision for loan losses recorded for the period ended September 30, 1999. It
is anticipated that the increase in the provision for such loan losses for the
period ended September 30, 2000 will be large enough to cause the registrant to
incur net loss for the quarterly and nine-month periods ended September 30,
2000.
