Explanation of Responses:
(a) On 9/28/98, Varlen Corporation declared a twenty-five percent stock
dividend payable to all holders of record of common stock on 10/30/98. As
a result of the stock dividend, the reporting person on 11/17/98 received the
following: (i) 4,759 shares of common stock; (ii) 2,500 contingent stock
award shares; and (iii) an increase in outstanding options of 11,226
shares.
