Explanation of Responses:
(a) As trustee of which the reporting person is the sole
beneficiary.
(b) On 9/28/98, Varlen Corporation declared a twenty-five percent stock
dividend payable to all holders of record of common stock on 10/30/98. As
a result of the stock dividend, the reporting person on 11/17/98 received the
following: (i) 30,111 shares of common stock; (ii) 20,000 contingent
stock award shares; and (iii) an increase in outstanding options of 23,003
shares.
