(1) Of the shares held by Mr. Shklar, 57,939 shares remained subject to the
Company's right to repurchase such shares as of December 31, 1999 and Mr.
Shklar does not have dispositive power over such shares. This right of
repurchase held by the Company lapses pro rata on a monthly basis as to
such shares.
