On July 17, 1998, Organic Food Products, Inc. (the "Company") appointed the firm
of BDO Seidman LLP, One Sansome Street, Suite 1100, San Francisco, CA 94104, as
its independent auditor to replace the accounting firm of Semple & Cooper, LLP,
2700 North Central Avenue, Phoenix, AZ 85004 who's resignation was reported on
the Company's initial Form 8K dated June 19, 1998.
Pursuant to the requirements of the Securities Exchange Act of 1934, the
