INDEMNIFICATION OF DIRECTORS AND OFFICERS

                               The Registrant entered into indemnification agreements with each of its directors and executive officers. The form of indemnification agreement provides that the Registrant will indemnify its directors and executive officers for expenses incurred because of their status as a director or officer, to the fullest extent permitted by Georgia law, its articles of incorporation and bylaws.

                               The Registrant's bylaws provide for indemnification of its directors and officers with respect to any liability and reasonable expense incurred by such person in connection with any civil or criminal action, suit or proceeding to which such person was (or is made or threatened to be made) a party or is otherwise involved, by reason of the fact that such person is or was one of the Registrant's directors or officers, and such person acted in a manner he believed to be in good faith and not opposed to our best interests, and had no reasonable cause to believe that his conduct was unlawful. The Registrant's bylaws obligate it to indemnify each of its directors and officers to the extent that they are successful in the defense of any action, suit or proceeding. In addition, the Registrant's bylaws may obligate it, under some circumstances, to advance reasonable expenses incurred by each director or officer in the defense of any civil or criminal action, suit or proceeding for which indemnification may be sought. However, the Registrant may not indemnify any director or officer to the extent that they are adjudged liable to the Registrant, or liable for the receipt of an improper personal benefit. Under conditions described in the Registrant's bylaws, any determination with respect to indemnification will be made by the board of directors or a committee thereof, by special legal counsel appointed by the board of directors or a committee thereof, or by the Registrant's shareholders. The indemnification provided by the Registrant's bylaws may be available for liabilities arising in connection with this offering. To the extent that indemnification for liabilities under the Securities Act of 1933, as amended, may be permitted to directors, officers or controlling persons under the Registrant's bylaws, the Registrant has been informed that, in the opinion of the Securities and Exchange Commission, such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable. At present there is no pending material litigation or proceeding involving any director, officer, employee or agent of the Registrant in which indemnification will be required or permitted.
