PAGE Item 5 Other Events On October 16, 2000, Intacta Technologies Inc., (the "Company") consummated the private placement of 2,333,333 units (the "Units") at a price of $3.00 per Unit for gross proceeds of $7,000,000. Each Unit is comprised of one share of common stock and one warrant to purchase one share of common stock at an exercise price of $3.50 per share. Approximately $2,500,000 of the gross proceeds were the result of the conversion by the holders of Bridge Notes acquired from Intacta in May and June of 2000.
