(e) The Company recently discovered that Monday, January 17, 1994, is a
NYSE trading day but not a "clearing" day, as banks will be closed to
observe the Martin Luther King, Jr. holiday.
Accordingly, the Company hereby amends Section 3 (e) (3) on page 6 of its
Offer to Purchase, which addresses the timing of guaranteed delivery of
Shares, to allow for six NYSE trading days (rather than five NYSE trading
days) for the Depositary to receive certificates for which it has received
Notices of Guaranteed Delivery.
