The Company engaged a new independent public accountant for fiscal year
1999. The first time review of the Company's business has taken more time
than originally planned to gather the necessary information to file the Form
10-K.

and on the Company's Form 10-Q for the period ending January 31, 1999 as filed
with the Securities and Exchange Commission on July 29, 1998 and March 17,
1999.

amendments thereto must be completed and filed with the Securities and
Exchange Commission, Washington, DC 20549, in accordance with Rule
0-3 of the General Rules and Regulations under the Act. The
