A number of accounting issues remain open and pending resolution,
preventing a timely filing of the 10-Q without reasonable effort and
cost. The Company anticipates having these issues resolved and filing
no later than August 21, 2000.

Exchange Commission, Washington, D.C. 20549, in accordance with Rule
0-3 of the General Rules and Regulations under the Act. The information
contained in or filed with the Form will be made a matter of the public
record in the Commission files.

filed with each national securities exchange on which any class of
