On March 24, 1999, the Company issued 105,000 shares of unregistered Common
Stock to Mr. Charles S. Holmes in consideration for his services as
a director and as a member of the Executive
Committee.
* Includes: 265,656 shares of unregistered Common stock in addition to
145,000 shares of Series A Preferred Stock and 2,773,752 Warrants which
may be converted into 3,933,752 Shares of Common Stock owned by Mr. Charles
Holmes. Also includes: 175,000 shares of Common Stock
purchased for Carrie Catherine Holmes, a minor, which are held by Diane Holmes
in a custodian account; and 629,600 shares of Common Stock
owned by Diane
