Explanation of Responses:
On March 24, 1999, the Company issued 15,000 shares of unregistered Common
Stock to Mr. Doran in consideration for his services as a director.
*Includes 15,000 shares of Common Stock issued on March 24, 1999 in addition to
10,000 shares of Series A Preferred Stock and 10,000 Warrants
which may be converted into 90,000 shares of Common
Stock.
