The Company has been delayed in the preparation of its quarterly report on
Form 10-Q due in large part to a delay in the review by its auditors and the
preparation of the "Subsequent Event" footnote to the financial statements in
accordance with generally accepted accounting principles and the Management's
Discussion and Analysis to properly disclose a recently completed transaction.
