over which MLPF&S has discretionary power and held by unit investment for 
which MLPF&S is the sponsor.

    MLGAM is a London based company established under the laws of the United 
Kingdom and a member of the Investment Managers Regulatory Organization Limited.
MLGAM is wholly-owned by ML&Co. through intermediate holding companies.  The 
staff of the Securities and Exchange Commission has granted no-action relief 
by letter dated November 24, 1993 recognizing that foreign subsidiaries, 
including MLGAM (and the intermediate holding companies), which would qualify
as an institutional investor within the meaningof Rule 13d-1(b)(ii)(A)-(G) if 
in the U.S., and satisfy the criteria of subsection (I) of the Rule and the 
representations of ML&Co. in its request dated October 25, 1993, would qualify 
to use Schedule 13G.  MLGAM holds certain of the securities reported in customer
accounts over which it has discretionary power.

    ML Group, a wholly-owned direct subsidiary of ML&Co., may be deemed to be 
the beneficial owner of certain of the reported securities of the Company by 
virtue of its control of (i) its wholly-owned subsidiary, PSI, and (ii) one or 
more Merrill Lynch trust companies, each of which is a wholly-owned subsidiary 
of ML Group and a bank as defined in Section 3(a)(6) of the 1934 Act.

    One or more Merrill Lynch trust companies or institutions, each of which is
a bank as defined in Section 3(a)(6) of the 1934 Act, may be deemed the

agreements under Rule 13d-1(f) (1) of the Act, as may be required thereto) to 
be filed and/or delivered with respect to any equity security (as defined in 
Rule 13d-1(d) under the Act) beneficially owned by the undersigned and which
must be reported by the undersigned pursuant to Section 13(d) of the Act and 
the regulations thereunder, and generally to take such other actions and 
perform such other things necessary to effectuate the foregoing as fully in 
all respects as if the undersigned could do if personally present.  This Power
of Attorney shall remain in effect until revoked, in writing, by the 
undersigned.
