the transaction referred to below has been carried out in
accordance with the terms and conditions of and for the
purposes represented by the Declarations of Seneca Resources
Corporation ("Seneca") and Empire Exploration, Inc.
("Empire"), as amended, in the above file, and pursuant to
the order of the Securities and Exchange Commission with
respect thereto, dated April 26, 1994 (Release No. 35-26036).
TRANSACTION: Effective at 12:01 a.m. on July 1,
1994, Empire was merged into Seneca.
