the transaction referred to below has been carried out in

purposes represented by the Declarations of National Fuel
Gas Supply Corporation ("National") and Penn-York Energy
Corporation ("Penn-York"), as amended, in the above file,
and pursuant to the order of the Securities and Exchange
Commission with respect thereto, dated March 4, 1994
(Release No. 35-25997).
TRANSACTION: Effective at 12:01 a.m. on July 1,
1994, Penn-York was merged into
National.
