This is to certify, pursuant to Rule 24 under the
Public Utility Holding Company Act of 1935, as amended (the
"Act"), that the transaction referred to below has been
carried out in accordance with the terms and conditions of
and for the purposes represented by the Declarations of
National Fuel Gas Company ("NFG") and Leidy Hub, Inc.
("Leidy Hub"), as amended, in the above file, and pursuant
to the order of the Securities and Exchange Commission with
respect thereto, dated July 29, 1994 (Release No. 35-26093,
the "Order").
TRANSACTION: Effective at 12:01 a.m. on September 1,
1994, Leidy Hub and Hub Services, Inc.
performed the acts required by their
Pre-Partnership Agreement, including
formation of a general partnership named
Ellisburg-Leidy Northeast Hub Company.
NFG and Leidy Hub will file additional certificates of
notification pursuant to Rule 24 under the Act when and as
required by the Order.
IN WITNESS WHEREOF, NFG and Leidy Hub have caused this
