                      Supplement dated September 26, 1995
                       to Prospectus dated April 28, 1995

                    POSSIBLE SALE OF HORRIGAN AMERICAN, INC.

     On September 22, 1995, the management of Horrigan American, Inc. (the
"Company") and a prospective purchaser finalized a term sheet describing the
proposed acquisition by the purchaser of all the outstanding stock of the
Company. One of the terms of the proposed acquisition would require the
purchaser to cause the Company to redeem all of the Company's outstanding
Subordinated Investment Certificates, including those offered by this
prospectus, at or shortly after the closing of the proposed acquisition. It 
is the Company's present expectation that the closing of the proposed 
acquisition, if consummated, would occur in December, 1995, or January, 1996.

     The Company has not entered into any legally binding agreement to 
complete the proposed acquisition. Completion of the proposed acquisition
would be subject to further negotiations, the execution of a definitive
agreement, and a number of other conditions, including regulatory approval
and the approval of the board of directors and shareholders of the Company.

     While there can be no assurance that the proposed acquisition will occur,
prospective investors in the Subordinated Investment Certificates offered by
this prospectus (the "Certificates") should consider the possibility that 
their Certificates would be called for early redemption, at 100% of their
principal amount plus accrued interest, if the proposed acquisition is completed
and that this could occur as early as December, 1995. In that event, depending
on prevailing interest rates at the time, it may not be possible for the
investor to reinvest the redemption proceeds of his Certificate at the same rate
paid on the redeemed Certificate.
