Item 5. Other Events.

On August 3, 2000, Cadmus Communications Corporation (the "Company") issued the
press release attached hereto as Exhibit 99.1 with respect to fourth quarter and
year end financial results. Bruce V. Thomas, president and chief executive
officer, and David E. Bosher, senior vice president, and chief financial

In addition, at the June 7, 2000 meeting of the Board of Directors of the

plan's incentive stock options ("ISOs"). Consequently, no ISOs may be granted
by the Company under the 1990 Plan after July 31, 2000.
