PART III - NARRATIVE
The Registrant's Quarterly Report on Form 10-QSB for the quarter ended June 30,
2000 (the "Report") could not be filed within the prescribed time period because
the Registrant has devoted substantial time and effort to recent business
matters affecting the Registrant, thereby delaying completion of the Report. As
a result, the Registrant has not been able to finalize the Report for the
quarter ended June 30, 2000.
