Class A non-voting shares
The capital stock of Fahnestock Viner Holdings Inc. (the "Company" or
"Registrant") to be registered on the New York Stock Exchange, Inc.
(the "Exchange"), is the Registrant's Class A non-voting stock
(the "Class A Shares"). The Class A Shares rank equally with the
Class B voting shares in all respects except that the Class A Shares
are non voting. Holders of Class A Shares are entitled to receive
notices of shareholders' meetings and to receive all informational
documents required by law or otherwise to be at all meetings of
shareholders, except at meetings at which only a specified class other
than the Class A or Class B shares are entitled to vote.
