On May 28, 1999, the Company changed its fiscal year end from May 31 to March
31, and elected to have this effective for the year ended March 31, 1999. The
Company has also changed its auditors, and as a result, will not be able to
complete its financials in time to file its Form 10-KSB by the current due
date.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
The results for the period ending March 31, 1999 will include operations
reflecting the acquisition of an Internet based health care management system
on January 7, 1999 and the acquisition of a diversified computer services
company in the United Kingdom on March 19, 1999. Prior to these acquisitions
the Company had no revenues and minimal expenses, consequently there were no
comparable results in the prior year.
