Public Service Company of Oklahoma ("PSO" or the "Company"), an
Oklahoma corporation, is a wholly owned electric public utility subsidiary of
Central and South West Corporation ("CSW"), a Delaware corporation and a
registered holding company under the Public Utility Holding Company Act of
1935, as amended (the "Act"). PSO hereby amends the Form U-1 Application in
File No. 70-8341 for the purpose of amending Item 3 by deleting the second
sentence from the first paragraph of Item 3 and inserting in lieu thereof the
following sentence: "In addition, PSO is requesting that the Commission
authorize PSO's acquisition of Class B Common Stock and Series B Preferred
Stock upon conversion or exercise of the New Debentures and the New Warrant as
described above, in the latter case, if PSO determines it is in PSO's best
interest to do so."
In all other respects, the Application as previously filed and amended will
remain the same.
