Central Power and Light Company, a Texas corporation, Public Service
Company of Oklahoma, an Oklahoma corporation, Southwestern Electric Power
Company, a Delaware corporation, and West Texas Utilities Company, a Texas
corporation, each a wholly-owned public utility subsidiary of Central and
South West Corporation, a Delaware corporation and a registered holding
company under the Public Utility Holding Company Act of 1935, as amended,
hereby file this Amendment No. 2 to the Form U-1 Application-Declaration in
this File No. 70-8327 for the purpose of including at the end of the "Use of
Proceeds" section under Item 1 the following paragraph:
"It is not intended that the funds will be used to
fiance the acquisition of an exempt wholesale generator
("EWG") or a foreign utility company ("FUCO") as defined in
Sections 32 and 33 of the Act. Neither CSW, PSO nor any
other CSW subsidiary has a direct or indirect ownership
interest in an EWG or FUCO. Therefore, Rule 54 does not
apply."
In all other respects, the Application as previously filed and amended will
remain the same.
