On January 19, 1994, Standard & Poor's Rating Group (S&P)
announced that it had placed the credit ratings of eight oil and
gas companies, including the Company, on "CreditWatch" with
negative implications. The action "reflects the sharp decline in
oil prices since the latter part of 1993, which caused S&P to
lower its oil price scenario used to determine debt ratings".
