    The  last sentence of the  first paragraph of the  section of the Prospectus
entitled "INVESTMENT OBJECTIVE AND POLICIES  -- Portfolio Management" on page  8
of the Prospectus is hereby replaced by the following:

        Mark  Bavoso, Senior  Vice President  of InterCapital,  has been the
    primary portfolio manager of the Fund since January, 1994, and has  been
    a portfolio manager at InterCapital for over five years.
