     The registrant has experienced difficulty in preparing its consolidated
financial statements due to delays in the closing of various application
systems.

     The results of operations for the three months ended June 30, 2000 as
compared to the same quarter 1999 is estimated to report a loss of approximately
$1,100,000 versus $185,000 due to decreases in revenues and decrease in gross
profits resulting from a higher revenue mix from lower margin services.
