State below in reasonable  detail the reasons why the Form 10-K and Form 10-KSB,
11-K, 20-F, 10-Q and Form 10-QSB,  N-SAR, or other transition  report or portion
thereof, could not be filed within the prescribed period.

The Company has been unable to complete its  financial  statements  for the year
ended December 31, 1998, with respect to certain financial  information  related
to the quarterly  periods  during such fiscal year. As a result of these delays,
the Company's  Form 10-KSB for the year ended  December 31, 1998 cannot be filed
within the prescribed time period without unreasonable effort or expense.
