          filed on or before the 15th calendar day following the prescribed

10-Q, N-SAR or the transition report portion thereof could not be filed within

NHI is currently in default on certain financial covenants on a loan it
guarantees.  NHI is negotiating with its lender to waive the default but the
negotiations are not complete. Accordingly, NHI is unable to finalize the
classification of its debt and complete other portions of its financial
statements and Form 10-Q until the negotiations are complete.
