The capital stock of Station Casinos, Inc. (the "Registrant")
to be registered on the New York Stock Exchange, Inc. is the
Registrant's Common Stock with a par value of $.01 per share and the
Registrant's $3.50 Convertible Preferred Stock. The Registrant's
Registration on Form S-3 (No. 333-1102) and the Registrant's
Registration Statement on Form 8-A (No. 0-21640) are by this reference
incorporated into this filing to the extent such registration
statements describe the Common Stock or the $3.50 Convertible
