PART III. NARRATIVE
State below in reasonable detail the reasons why Form 10-KSB, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period. (Attach extra sheets if needed.)
Attention of senior management of the registrant has been focused on
effectuating a prospective financial restructuring of the company and change in
composition of its board of directors. The proposed transaction is described in
an Information Statement on Form 14(f) filed with the Commission on November 10,
1999, and is scheduled to close on November 22, 1999. In addition, as disclosed
on registrant's Current Report on Form 8-K filed with the Commission on
November 10, 1999, the company's Chief Financial Officer resigned on October 15,
1999. For these reasons, the Company has been unable to complete its quarterly
Report on Form 10-Q for the quarter ended September 30, 1999.
