NARRATIVE
State below in reasonable detail the reasons why Forms 10-K,
20-F, 11-K, 10-Q, N-SAR, or the transition report or portion
thereof, could not be filed within the prescribed time period.
HealthRite Inc. (the "Company") began a company-wide
upgrade and conversion to their computer systems in an
effort to insure that the Company's systems were Y2K
compliant. The effort to upgrade the computer system became
problematic for the Company and resulted in its inability to
generate data in a timely manner. The Company was
unsuccessful in resolving the technical problems related to
the upgrade and conversion in sufficient time to generate
the information needed for preparation of its 10-KSB.
