* In addition to the shares of the common stock, par value $.001 ("Common
Stock"), of the Issuer reported herein as directly beneficially owned, the
reporting person is a settlor, but neither a trustee nor a beneficiary, of
a trust that, as of September 30, 2000, held 69,143 shares of Common
Stock. The trust was established for the benefit of certain immediate
family members who do not share the reporting person's household and the
reporting person does not retain any power to revoke the trust.
Accordingly, the reporting person disclaims beneficial ownership of, and
any pecuniary interest in, the shares held by the trust.
