                                EXPLANATORY NOTES


         1. The Company hereby files this Registration Statement on Form S-8
with the Commission to register 2,250,000 additional shares of Common Stock,
$.01 par value, offered or to be offered to participants under the Plan from
time to time at prices determined by a committee of the Company's Board of
Directors. The amendment to the Plan to increase the number of shares of Common
Stock issuable under the Plan was approved by the Company's Board of Directors
on March 18, 1997 and by the Company's shareholders on June 4, 1997. This
Registration Statement also covers such indeterminate number of additional
shares which may be offered and issued pursuant to the Plan to prevent dilution
resulting from stock splits, stock dividends or similar transactions.

Registration No. 33-92812, as amended, is incorporated herein by reference.
